In addition to representing buyers and sellers for major deals (exceeding $100 million), our Corporate and Transactional team structures settlements and trusts for class actions and insurance recovery cases. Our business advisory work helps Howrey clients resolve operational, strategic, regulatory and tax-related legal matters, such as market timing of stock options and related investigations.
Representative Matters:
Corporate- Represented publicly traded sports facility operator in the acquisition of new facilities. (The purchase price in each of these transactions exceeded $100 million.)
- Represented shareholders of a specialty health care company in $25 million share exchange with a NASDAQ-listed company.
- Represented a multinational corporation in an approximately $20 million sale by the shareholders of a computer chip manufacturer to a public company.
- Represented a private investment company in $25 million of interim and term financing to a NASDAQ-traded telecommunication service provider.
- Represented a software manufacturer in a merger with a wholly-owned subsidiary of a national defense contractor.
- Represented the shareholders of a defense contractor in a $20 million sale of all of its stock to another defense contractor.
Real Estate- Represented purchaser in a $100 million purchase of a nationally known hotel by a major hotel chain.
- Represented the lessor regarding one of the most substantial commercial leases negotiated in downtown Washington DC within the past several years.
- Represented a large oil company in negotiating and drafting transaction documents acquiring certain industrial warehouses and other properties affected by an underground petroleum plume. Also negotiated leases and indemnification provisions with surrounding property owners and businesses.
- Represented a group of companies responsible for site cleanup, and advised the consortium on how to structure agreements with surrounding land owners and the US Environmental Protection Agency in order to minimize the consortium's exposure and maximize potential sale value after clean-up.
- Represented the purchaser and developer of 1,800 acres of coastal property for a housing development. The representation involved structuring and negotiating investor, finance, environmental and regulatory documents, as well as addressing issues involved in acquiring and developing land in a very environmentally sensitive area.
Commercial - Represented a major oil company with respect to a large oil refinery expansion joint venture in Saudi Arabia.
- A limited liability corporation set up to undertake a joint manufacturing project for a Japanese company in the United States.
- A company established to provide manufacturing support services in the telecommunication industry.
- A company established to acquire several special purpose telecommunications businesses.
Financing- Represented a multi-national oil refiner in the refinancing of an oil refining facility. The value of the transaction was over $330 million.
- Represented a cruise line in arranging over $300 million of debt financing for an international consortium of banks.
